General Terms and Conditions (GTC) and withdrawal instructions

A very warm welcome to SoLean! We are glad you have found your way to our site. Terms and conditions are not the most exciting subject, but we cannot do without them either. Please read the following text carefully, because it sets out the rights and obligations each of us has and what the relationship between you and us looks like. Our company is called DTC Healthtech Solution Limited, but in Germany we are known under the name bei SoLean.

Please note that our terms and conditions will change from time to time. There can be many reasons for this: we regularly extend and update what we offer you, and the legal position can change as well. Whenever you place an order, the terms and conditions current at the time of that order apply. DTC makes the applicable version available to you when the contract is concluded. DTC stores the terms and conditions and can make them available to you on request.

1. Scope

These terms and conditions govern all orders and contractual relationships that you as a user may enter into with us or with one of our cooperation partners through this website. The version of the terms and conditions current at the time of the order applies. Because the legal position can change, or because we regularly improve what we offer you, we amend our terms and conditions from time to time.

2. Contracting party

If you conclude a contract with us directly, your contracting party is DTC Healthtech Solution Limited (from here on we will write only DTC) with its registered office at Second Floor, One Stephen Street Upper, Dublin 8, D08 DR9P, Ireland, registered with the Companies Registration Office Ireland under commercial register number 681172, represented by its managing director Jan Mehner. DTC is your contracting party for all contracts arising from this business relationship, unless the terms and conditions below provide otherwise. DTC uses the website solean.com for its platform.

Through bei SoLean, DTC provides you with a platform in the field of combating excess weight, through which you can conclude contracts with us and with our cooperation partners for medical telemedicine treatments, medicinal products, self-tests, food supplements and cosmetic products.

3. Services provided by DTC

(a) Through bei SoLean you can undergo telemedicine medical treatment and buy prescribed medicinal products from a mail-order pharmacy. You can buy self-tests from the relevant providers and have them evaluated, and you can purchase food supplements and cosmetic products.

(b) DTC has cooperation agreements with healthcare providers, pharmacies and providers of self-tests (hereinafter: cooperation partners), whose high quality standards are continuously reviewed by DTC's quality management team and, where necessary, improved in the interest of users.

(c) Through bei SoLean, DTC offers medical telemedicine treatments in its own name. To deliver the medical services, DTC draws on the cooperating healthcare providers (see section 4).

(d) DTC itself sells neither medicinal products nor tests, food supplements or cosmetic products. DTC does not offer these products in its own name through bei SoLean. The respective contract for obtaining the products named is always concluded with DTC's cooperation partners (see sections 5 and 6). Through SoLean, DTC brokers for you the contract for the products you want with the respective cooperation partner.

(e) Where DTC is to broker a contract for you with the pharmacy or with a provider of the products to be purchased, you submit a legally binding offer to conclude a brokerage contract with DTC covering the brokerage of a contractual relationship with DTC's respective cooperation partner for the goods in your basket, by clicking the „Pay now / Buy” button. By sending the order confirmation, DTC accepts your offer and the brokerage contract with DTC is concluded.

(f) DTC is not obliged to carry out a telemedicine treatment for you, or to broker a contract for you with a cooperation partner for a medicinal product, food supplement, test or cosmetic product, and may refuse to do so. This applies in particular where you have certain pre-existing conditions, existing symptoms or intolerances, or where telemedicine treatment or the medicinal product or product you have asked for is inadvisable for other medical reasons.

4. Telemedicine medical treatment

Through bei SoLean, DTC offers you the performance of medical treatment. DTC is your contracting party for the performance of that treatment. To deliver the medical services, DTC draws on the cooperating healthcare providers.

The treatments are exclusively medical telemedicine treatments. The doctor treating you by telemedicine may issue you a prescription for a prescription-only medicinal product. You can redeem that prescription through bei SoLean at a mail-order pharmacy cooperating with DTC, or have it sent to you for redemption at a local pharmacy of your choice.

(a) Healthcare providers

If you conclude a contract with DTC for the performance of telemedicine treatment, the medical services are provided by doctors of the healthcare providers cooperating with DTC. DTC cooperates with Health Finder Pro Ireland Ltd. (registered and licensed in Ireland under Irish commercial register number 682654, registered office 6-9 Trinity House, Dublin 2, Ireland; hereinafter: Health Finder) and with a licensed doctor based in Germany.

(b) Treating doctors

The telemedicine services are provided without exception by doctors who are entitled and licensed to provide medical services in the European Union. As at 1 January 2025, the doctors whose treatment services are brokered through bei SoLean are established in Ireland or Germany.

All doctors of the healthcare providers are subject to the supervision of the Irish Medical Council (IMC)[1] or of the competent medical association in Germany, and are registered there. The lead doctors at Health Finder are Dr. Doniert Alexis Macfarlane, IMC registration 430114, and Dr. Omer Hassan Mohammed Dahawi, IMC registration 424646. The treating doctors in Germany are Zyl Stavropolis, licensed under doctor number 80276001086128072753, and Anna-Magdalena Jakob, licensed under doctor number 802760200420262. All doctors hold comprehensive professional indemnity insurance.

The treatment methods correspond to the current state of scientific knowledge and are continuously reviewed by doctors licensed in Germany and by DTC's quality management team.

(c) Conclusion of the treatment contract

If you wish to use a telemedicine treatment through bei SoLean in order to obtain a prescription for a prescription-only medicinal product, you must submit a prescription request through bei SoLean and answer a medical questionnaire (hereinafter: medical history form) which serves as the basis for the telemedicine treatment.

Your treatment contract with DTC comes into being when you submit a binding offer through bei SoLean to conclude a contract for telemedicine treatment and the treating doctor accepts that offer on behalf of DTC.

You submit a binding offer to conclude the treatment contract after answering the questions in the medical history form and selecting a medicinal product of your choice, by pressing the “Pay now / Buy” button.

The doctor of the healthcare provider treating you (Health Finder or a cooperation partner based in Germany) accepts your offer to conclude the treatment contract on behalf of DTC by implication, by beginning to evaluate the medical history form. He informs you of the acceptance of your offer to conclude the treatment contract by sending an issued prescription, by contacting you to clarify further medical details, or by notifying you that the prescription you requested has been refused on medical grounds. Save on Saturdays, Sundays and public holidays, this usually happens within 24 hours.

Through bei SoLean you can see which doctor treated you and for which of the healthcare providers (Health Finder or a cooperation partner based in Germany) he acted.

(d) Telemedicine medical treatment

The medical history form you complete before submitting your contractual offer is the subject matter of the medical treatment. It contains questions about any pre-existing conditions, body measurements, medicines taken, living circumstances, your way of life and other facts relevant to the doctor treating you. Answering these questions is necessary for the doctor treating you in order to make a sound diagnosis where required and to decide on your prescription request.

By selecting a medicinal product on bei SoLean you can ask your doctor for a particular medication. The doctor checks against your medical history form whether the medication you want is suitable for you. If it is, your doctor issues you a prescription. Depending on your choice, this is either transmitted directly to a mail-order pharmacy cooperating with DTC, or the qualified electronically signed prescription is sent to you by e-mail so that you can buy the prescribed medicinal product yourself at a local pharmacy of your choice.

The doctor treating you will consult you by e-mail or telephone if the data and answers you have provided are not sufficient for him to issue the prescription, or if further clarification is needed before he can decide on your medication. The e-mail address provided at purchase or your personal telephone number is used for this. If your doctor cannot reach you by either of these routes within a reasonable time, he reserves the right to end the treatment early and not to prescribe you any medicinal product. If, despite enquiry, it is not possible to decide on your medication in the course of the treatment, you will be advised to consult a doctor of your choice locally. In that case the treating doctor will refrain from issuing a prescription and will notify you by e-mail that your request has been declined.

You will be informed by e-mail about the status of your telemedicine treatment and about your treating doctor's decision. There is no entitlement to the prescription of any particular medicinal product.

In order to keep the medical history form in line with the latest medical knowledge, DTC reviews it at regular intervals in cooperation with appropriately specialised doctors and adapts it where necessary.

(e) Transfer of data

By completing the medical history form and clicking the “Pay now / Buy” button, you authorise DTC to make your data and answers available to the treating doctor for the purpose of medical treatment. By submitting the medical history form you agree to initiate the transfer of data described and to the evaluation and the treatment beginning before the withdrawal period has expired.

(f) Issuing of prescriptions

If the treating doctor prescribes you one or more medicinal products in the course of the treatment, we will, depending on the order type you selected, transmit your prescription to a mail-order pharmacy cooperating with DTC, or send it to you by e-mail with a qualified electronic signature for personal redemption at a local pharmacy of your choice.

All doctors of the healthcare providers cooperating with DTC prescribe exclusively private prescriptions through SoLean, which can be redeemed within the territory of the European Union (EU) on the basis of the EU Patient Mobility Directive[2]. As a rule you must pay for the medicinal products prescribed in this way in full yourself. Reimbursement through the statutory health insurance scheme (GKV) is generally not possible.

(g) Costs

For carrying out the telemedicine treatment, DTC charges a treatment fee in the amount stated on bei SoLean immediately before you submit your contractual offer.

Initial medical consultation

Booking an initial medical consultation serves to assess your medical suitability for particular treatment programmes. The consultation fee is charged for the medical service once it has been fully provided.

No refund

Under section 630a of the German Civil Code (BGB), the consultation fee or treatment fee falls due irrespective of the outcome of the medical assessment or of whether a medicinal product is prescribed. If it is established that the patient is not suitable for the treatment programme requested, no refund is made, because the medical consultation service has been fully provided. DTC therefore cannot refund the treatment fee to you, even if you do not receive the prescription you wanted from the treating doctor.

Cancellation and refund

The extent of any refund depends on the processing status:

  • Full refund: until the consignment is transmitted to the pharmacy
  • Partial refund: after dispatch has been triggered (less the treatment fee and shipping costs)
  • No refund: after delivery to the customer

5. Purchase of medicinal products

Through bei SoLean you can buy prescription-only medicinal products from a mail-order pharmacy cooperating with DTC, which delivers directly to you. DTC brokers the contractual relationship for the purchase of a medicinal product for you without itself becoming a party to the contract of sale.

(a) Mail-order pharmacies

Where DTC brokers a contract of sale for medicinal products for you, your contracting party is either Apotheke Bad Neuschanz, Verlengde Hoofdstraat 1D, 9693 AB Bad Nieuweschans, Netherlands (supervised by the Inspectie Gezondheidszorg en Jeugd4, registered as Apotheek Bad Nieuweschans BV; hereinafter: Apons) or APO Pharmacy B.V., Express 2, 6921 RB Duiven, Netherlands (supervised by the Inspectie Gezondheidszorg en Jeugd4, registered as APO Pharmacy B.V.; hereinafter: APO. Each mail-order pharmacy is under the responsible management of a pharmacist licensed in the European Union (EU) and entitled to practise the profession of pharmacist. The basis for the contract of sale with the mail-order pharmacy is these DTC terms and conditions together with the terms and conditions of the respective mail-order pharmacy, which can be retrieved for Apons at https://www.apons.eu/agb.html and for APO at https://www.apo.com/agb .

The services of the mail-order pharmacies are continuously reviewed by DTC's quality management team.

(b) Conclusion of the contract of sale for medicinal products

By deciding through bei SoLean to buy a medicinal product and have it delivered directly to you, and by clicking the „Pay now / Buy” button, you submit a legally binding offer to purchase the selected medicinal product from one of the mail-order pharmacies (Apons or APO). Where the medicinal product you want is available from more than one mail-order pharmacy, you may state which pharmacy it should be obtained from.

At the same time as submitting your offer to conclude the contract of sale for the medicinal product with the mail-order pharmacy, you submit an offer to conclude a brokerage contract with DTC (see section 3(e)).

By dispatching the medicinal product, the mail-order pharmacy accepts your offer to purchase it. You will be informed of this by a dispatch confirmation sent by e-mail.

A prescription-only medicinal product is dispatched only once the corresponding prescription from the doctor treating you by telemedicine has reached the mail-order pharmacy.

If the prescribed medicinal product is not available, the pharmacies may supply medicinal products of other manufacturers containing the same active substance, provided they correspond to the quantity requested and prescribed („aut idem“). In such a case you will be contacted by e-mail and asked whether you agree to the delivery of the medicinal product containing the same active substance. If you agree to that delivery, a contract for the purchase of that product comes into being upon its dispatch. If you do not respond to the e-mail within a reasonable time, or state that you do not wish to buy the product containing the same active substance, no contract of sale comes into being and the mail-order pharmacy will transmit the doctor's qualified electronically signed prescription to you by e-mail so that you can redeem it at a local pharmacy of your choice.

Should the pharmacist have professional objections to the administration of the medicinal product, the pharmacy may consult the doctor treating you. If those objections cannot be resolved by that consultation, the pharmacy may reject your offer to purchase the medicinal product and refuse to deliver it. In that case you will be notified immediately and DTC will help you find a mutually acceptable solution.

The products shown on DTC's platform are stock images or images of products distributed by the mail-order pharmacies cooperating with DTC.

No contract of sale with a mail-order pharmacy cooperating with DTC comes into being if you choose to have the prescription sent to you for redemption at a local pharmacy of your choice. In that case a contract of sale arises exclusively between you and the pharmacy you have selected, where you redeem your prescription. To that extent DTC does not broker any contract of sale for medicinal products with the local pharmacy.

(c) Costs and shipping

DTC collects payment on behalf of the mail-order pharmacies for the supply of medicinal products. You will receive the invoice for the supply of medicinal products from the mail-order pharmacy by e-mail.

The respective prices follow from the information shown to you on bei SoLean before you submit your offer to purchase, and are inclusive of value added tax and shipping costs.

Dispatch by the mail-order pharmacy is carried out by a logistics service provider within a reasonable time, usually within one working day.

If you have the prescription sent to you for redemption at a local pharmacy and buy the prescribed medicinal product at a local pharmacy, payment is settled directly at that local pharmacy at the prices and payment terms applying there.

6. Purchase of self-tests, food supplements and cosmetic products

Through bei SoLean you can purchase self-tests and have them evaluated. You can also purchase food supplements and cosmetic products. For this, DTC brokers a contract for you with the relevant provider without itself becoming a party to that contract.

(a) Providers

The provider of the food supplements and cosmetic products available through bei SoLean is NextGen Pharma s.r.o. (registered office: Kaprova 42/14 Prague 1, 110 00 Staré Město, Czech Republic; hereinafter: NextGen). NextGen is your contracting party when you purchase food supplements or cosmetic products through bei SoLean.

No contractual relationship for the purchase of the food supplement or the cosmetic product arises between you and DTC.

(b) Conclusion of a contract

When you select a food supplement or cosmetic product through bei SoLean and click the “Pay now / Buy” button at the end of the order process, you submit a legally binding offer to purchase the selected product from NextGen.

In each case this happens at the same time as you submit your offer to conclude a brokerage contract with DTC (see section 3(e)).

By dispatching the food supplement or the cosmetic product, NextGen accepts your offer. The contract thereby concluded is confirmed to you by a dispatch confirmation sent to your e-mail address.

The food supplement or cosmetic product is always dispatched on behalf of NextGen, either by DTC or by a mail-order pharmacy cooperating with DTC (Apons or APO).

This does not establish any contractual relationship between you and DTC, or between you and Apons or APO, for the supply of the test or the supply of food supplements and cosmetic products.

(c) Costs and shipping

DTC collects payment on behalf of NextGen for the purchase of the food supplement or cosmetic product. You will receive the corresponding invoice from NextGen by e-mail.

The price follows from the information shown to you on bei SoLean before you submit your offer to conclude the contract, and is inclusive of value added tax and shipping costs.

The food supplement or cosmetic product is dispatched by a logistics service provider within a reasonable time, usually within one working day.

7. The user's duties of care
a) Telemedicine medical treatment

When completing the medical history form and in all communication between you and the doctor treating you, it is essential that the information you give is correct and truthful. You are therefore obliged to give truthful and complete information when answering all medical questions, whether when completing the medical history form or when answering additional questions from the doctor treating you.

Should your state of health change during the treatment, you are obliged to inform the doctor treating you immediately or to consult a doctor of your choice locally.

b) Prescribed medicinal product

For your own safety, before taking the medicinal product you are obliged to check that you have received the correct medicinal product and the one you ordered (ruling out an incorrect delivery). You may take the medicinal product sent to you only if it has been prescribed to you personally.

Likewise, for your own safety, before taking the medicinal product you are obliged to check that the outer packaging and any seal are intact and that the expiry date has not passed. You may take the medicinal product only if the packaging and the seal are intact and the expiry date has not passed.

Before taking it for the first time you must, for your own safety, read the package leaflet carefully.

8. Payment processing

For payment processing, DTC cooperates with the payment providers Stripe and PayPal. If you decide to make payment through one of these payment providers, in addition to DTC's terms and conditions and those of the cooperation partners you must also accept the terms and conditions of the payment provider you have selected.

The terms and conditions of Klarna Bank AB (publ.) (registered office: Sveavagen 46, 111 34 Stockholm, Sweden) can be retrieved at https://www.klarna.com/de/agb/.

9. Data protection and medical confidentiality

(a) DTC aims to give the protection of personal data the highest priority and guarantees that all data you provide as a user on bei SoLean is treated confidentially.

For the proper performance of the contract it is necessary to store, process and use your personal data and to transmit it to the cooperation partners involved in your case (healthcare provider, mail-order pharmacy and/or supplier of food supplements and cosmetic products).

If you submit a prescription request, DTC stores the health data you share on bei SoLean as part of the medical history form, passes it to the treating doctor for the prescription of the medicinal product you want, and uses it to identify personalised treatment options.

The storage, use and processing of your personal data, including your health data, takes place in accordance with the applicable statutory data protection provisions and with DTC's own privacy policy, which you can retrieve at https://www.solean.com/datenschutz and which you confirm having read when you submit an offer to conclude a contract.

(b) The treating doctors keep the data transmitted to them in patient records as part of the treatment relationship, in accordance with the professional and data protection rules applying to them in their country of practice. The patient records are accessible to the doctor alone. DTC has no access to them. Deletion of the data contained in the patient record held by the treating doctor takes place independently of any deletion request and is carried out only after the statutory retention period has expired.

So that the doctor can give information to the pharmacies in case of ambiguity, you release him for that purpose from his medical duty of confidentiality towards the mail-order pharmacy from which you obtain your medicinal product.

10. Exclusion of liability

(a) DTC's liability is limited as follows:

DTC's liability in damages is limited in amount to the damage foreseeable at the conclusion of the contract and typical for such contracts, in the event of a breach of material contractual obligations. Material obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the user may regularly rely.

Otherwise DTC's liability is excluded, unless mandatory statutory grounds of liability apply (in particular under the German Product Liability Act), or where a guarantee has been given as to quality or as to the achievement of a particular result, or a procurement risk has been assumed, or in the event of default where a fixed delivery date has been agreed.

The exclusion of liability does not apply to intentional or grossly negligent breaches of duty, or to injury to body, health or life resulting from a negligent or intentional breach of duty by DTC.

The limitation of liability applies equally to DTC's legal representatives and vicarious agents.

(b) DTC is not liable for damage arising from the brokered contractual relationships between you as a user and the mail-order pharmacy or the supplier of self-tests, food supplements and cosmetic products.

(c) DTC's content on bei SoLean is produced by qualified specialists on the basis of the current state of science and technology and is kept up to date. However, we give no guarantee and accept no liability for the accuracy, completeness or currency of the content of our website. DTC's offerings likewise do not constitute medical advice. Where you are under medical or therapeutic care, the recommendations and statements of your doctor or therapist apply without restriction and irrespective of what DTC offers. Please let us know by e-mail at support@solean.com if you notice outdated or incorrect information. We will update, remove or correct it as soon as possible.

(d) We have no control over the content of third-party websites and materials we link to. Their operators alone are responsible for them. We provide these links for your information but cannot guarantee the accuracy of that content. We expressly do not adopt it as our own and accept no liability for any damage or loss you suffer as a result of using it.

11. Withdrawal instructions

(a) You are informed below of your statutory right of withdrawal in relation to DTC.

As a user, you have the right to withdraw from the contract concluded with us for our brokerage services within 14 days, without giving any reason, in text form (for example by letter or e-mail). You may use the attached model withdrawal form for this purpose, although its use is not mandatory. The period begins once you have received these withdrawal instructions, but not before the day on which the contract was concluded.

To meet the withdrawal deadline, it is sufficient that you send your notice of withdrawal before the period expires, to

These withdrawal instructions apply only to the brokerage contract concluded between you and DTC. Withdrawal from the contracts brokered by DTC is governed by the relevant provisions of your respective contracting party.

Expiry of the right of withdrawal

By submitting your offer to conclude a contract with DTC for the brokerage of contracts with DTC's respective cooperation partners, you expressly agree that DTC shall begin performing the service before the withdrawal period expires, and you acknowledge that your right of withdrawal thereby expires once the respective service has been fully performed.

For the contract covering DTC's brokerage services, the right of withdrawal expires upon conclusion of the brokered contractual relationship with the respective cooperation partner, specifically upon dispatch pursuant to section 312d(4) no. 4 of the German Civil Code (BGB), because the GLP-1 medicines distributed are subject to continuous refrigeration (2-8°C). Once dispatched, compliance with the pharmaceutical cold chain can no longer be verified, which is why return is excluded under section 11(1) of the German Pharmacy Operations Ordinance (ApBetrO).

Under section 630a of the German Civil Code (BGB), the treatment fee falls due irrespective of the prescribing outcome, once the medical assessment has been carried out.

Consequences of withdrawal

If you withdraw from the brokerage contract with DTC, we shall reimburse to you all payments we have received from you, including the costs of delivery, without undue delay and no later than fourteen days from the day on which we received notice of your withdrawal from the contract. For this reimbursement we shall use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in no event will you be charged any fees for this reimbursement.

Compensation for value

If you requested that DTC begin performing the services during the withdrawal period, you shall pay us an amount which is in proportion to what has already been provided up to the time you inform us of the exercise of the right of withdrawal in respect of this contract, compared with the full coverage of the services provided for in the contract.

12. Information obligations

The only language available for concluding the contract is German.
We are not obliged, and are generally not willing, to take part in dispute resolution proceedings before a consumer arbitration board. There is no out-of-court complaint or redress procedure to which DTC is subject.
All further information about DTC, what it offers and how it is handled can be found in the descriptions at www.solean.com. You can cancel and correct entries of your data at any time during registration.

13. Rights of use

As a user, you hold only the rights in DTC's website granted to you under these terms of use.

The content, information, images, videos and databases published by DTC through SoLean are protected by copyright and are owned by or licensed to DTC. They may be used or reproduced only for personal and not for commercial purposes. Passing them on is prohibited without DTC's express consent.

14. Final provisions

Should individual provisions of these general terms and conditions, including this provision, be incomplete or wholly or partly ineffective, this shall not affect the effectiveness of the remainder of the general terms and conditions. The relevant statutory rules shall take the place of the incomplete or ineffective provisions. This also applies where the gap requiring completion becomes apparent only later.

The contractual relationships between you and DTC are governed exclusively by the law of the Federal Republic of Germany, to the exclusion of the UN Convention on Contracts for the International Sale of Goods and of German private international law.

The exclusive place of jurisdiction is Hamburg - Mitte.
